NoDials Terms of Service
Effective date: 2026-10-08 (v1) Version: 2026-10-08 (v1)
PLEASE READ. SECTION 15 REQUIRES YOU TO RESOLVE DISPUTES WITH US IN INDIVIDUAL ARBITRATION, AND YOU GIVE UP ANY RIGHT TO A JURY TRIAL OR TO BRING OR JOIN A CLASS ACTION. SECTIONS 12 AND 13 DISCLAIM WARRANTIES AND LIMIT OUR LIABILITY. SECTION 14 MAKES YOU RESPONSIBLE FOR CLAIMS ARISING FROM YOUR CALLS AND YOUR SALES. SECTION 7 MAKES WALLET PURCHASES FINAL.
These Terms of Service ("Terms") are an agreement between Capital Commission Management, LLC, a Texas limited liability company doing business as NoDials ("NoDials," "we," "us"), and the licensed insurance agent who creates an account, adds money to a wallet, or takes calls through NoDials at app.nodials.com (the "Service") ("you"). If you accept for an agency or business, you confirm you have authority to bind it, and "you" means the business and you.
How you agree. You agree to these Terms when you create an account, add money to your wallet, or switch yourself online to take calls, whichever comes first. Each of those screens tells you that doing so means you agree and links to these Terms and our Privacy Policy. IF YOU DO NOT AGREE, DO NOT CREATE AN ACCOUNT, ADD MONEY, OR TAKE CALLS.
1. What NoDials is
NoDials delivers live phone calls with consumers who have expressed interest in mortgage protection or similar life insurance products ("Calls") to licensed insurance agents. Our call centers dial consumer inquiry records on our behalf, speak with the consumer, and transfer interested consumers live. Our phone system rings the cell phone numbers of agents who are online and licensed in the consumer's state. The first agent to accept the call (by pressing 1) is connected to the consumer. The consumer did not call you; they were called by a call center working for us and handed to you.
We are a lead-generation and call-routing service for businesses. We are not an insurance carrier, agency, or licensed producer, and we do not sell insurance. Every quote, recommendation, and sale happens between you and the consumer, under your licenses and your responsibility.
The Service is for business use only by licensed insurance professionals who are at least 18 years old. It is not offered to consumers.
2. Who may use the Service
You represent and warrant, on signup and every day you use the Service, that:
- you hold an active insurance producer license in every state you select on your States page, and you will remove a state the day a license in it lapses, is suspended, or is revoked;
- the National Producer Number (NPN), name, email address, and cell phone number you give us are yours and are accurate, and you will keep them current;
- you are appointed with, or otherwise authorized to sell for, the carriers whose products you offer on Calls;
- you will take Calls personally, on the cell number on your account, and will not forward, transfer, record for resale, or hand Calls to anyone else;
- you are not subject to any regulatory order, bar, or agreement that restricts you from selling insurance by phone.
We keep your NPN on file for compliance. We may check it against the National Insurance Producer Registry or any other source at any time, and we may refuse, pause, or close an account whose licensing we cannot confirm. Giving us false licensing information is a material breach.
One account per agent, and one cell number per account. Accounts are personal and may not be shared, sold, or transferred.
3. How Calls work; what a Billable Call is
- Going online. You take Calls only while your switch is on. We may refuse to let you go online, or switch you off, when your wallet is below the price of a Call, when you have a Call waiting for a disposition, when you have no overlap between the states you are licensed in and the states we are running Calls in, when the market is closed, when your account is on hold, or when our phone system cannot be reached. We will tell you on screen why. Market hours are posted in the Service and may change.
- Winning a Call. When a consumer is transferred, our system rings online, eligible agents. The first to press 1 gets the Call. Calls you do not answer, answer too late, or decline are not yours and are not charged.
- Billable Call. A Call becomes a "Billable Call," and your wallet is charged the per-Call price shown on your wallet page, when the Call stays connected to you for the billable window shown in the Service (measured from the moment our phone system connects you to the consumer). The charge happens whether or not the consumer was qualified, interested, or honest, whether or not you made a sale, and whether or not you ended the Call. A Call that ends before the billable window is not charged.
- Timing. Timing is kept by our systems from our phone system's records. Our records control. There is no countdown timer during a Call; the Service shows your elapsed time and tells you when a Call has become billable.
- After a Call. You must record a disposition (what happened on the Call) before you can take the next one. You agree to disposition every Call honestly, including reported premiums. We rely on dispositions to run and improve the Service.
- What you see about the consumer. Before a Call is billable, you see limited information (such as first name, last initial, state, and zip). After it is billable, you see the record we have for that consumer. Section 5 governs what you may do with it.
- Volume. We do not promise any number of Calls, any Call in any state or at any time, or any share of the Calls we route. Calls depend on our call centers, our data, how many agents are online, and factors we do not control.
4. Call recording, monitoring, and analysis
Calls routed through the Service are recorded, and our systems create records of each Call (time, duration, who hung up, and similar data). You consent to the recording and monitoring of every Call you take through the Service, and you will not object to, interfere with, or disable recording. You agree to comply with every recording and monitoring law that applies to you, including any disclosure required in your state or the consumer's state. Recordings, transcripts, and Call records belong to us. We may listen to, transcribe, review, score, and analyze them, by people or by automated tools, to verify charges, resolve disputes, check compliance, train and coach agents, measure quality, improve the Service, and build and improve automated features. We may share a recording with you, with the consumer if the law requires, with our call centers for quality purposes, and as the Privacy Policy describes. We may stop recording, or change how recordings are kept or made available, at any time.
5. Consumer information: use and restrictions
Information about a consumer that you receive through a Call or the Service ("Consumer Information") is provided for one purpose: to serve that consumer on and after the Call you took with them, in your own insurance business. You may not resell, share, trade, publish, upload to any list broker or data platform, or otherwise redistribute Consumer Information, or use it to build a list or product for anyone else. You may not use the Service or Consumer Information for any purpose covered by the Fair Credit Reporting Act; nothing we provide is a consumer report.
Follow-up contact is yours. We arranged one live conversation. Any later call, text, email, or other contact you make to that consumer is your own outreach, made on your own decision and under your own compliance obligations, including the Telephone Consumer Protection Act, the Telemarketing Sales Rule, state telemarketing laws, do-not-call rules, and recording laws. We make no representation that any consumer has given consent for any contact by you after the Call, and we do not provide consent documentation for follow-up contact. If a consumer asks you not to contact them again, honor it and tell us at support@nodials.com so we can honor it too.
6. Your conduct on Calls
You will treat every consumer honestly and professionally, identify yourself truthfully, comply with every law and carrier rule that applies to your insurance sales (including suitability, replacement, disclosure, and rebating rules), and never misrepresent a product, a price, your identity, or your relationship with us or with the call center. You may not use the Service to sell anything other than insurance products you are licensed and appointed to sell. We may review recordings and dispositions for conduct, and we may pause or close an account for conduct we find unprofessional, deceptive, abusive, or risky, in our sole discretion.
7. The wallet, prices, and payment
- Prepaid wallet. The Service runs on a prepaid wallet. You add money by card; Billable Calls are charged against it at the per-Call price shown on your wallet page at the time of the Call. We may change the price for future Calls at any time by updating the Service; a change never reaches a Call already charged. Your wallet balance is a prepaid right to receive Calls. It is not money, a deposit, a stored-value account, interest-bearing, or property, and it has no cash value.
- Payments are processed by Whop. Whop, Inc. is the merchant of record for every wallet purchase and auto-reload. Your card details are collected and held by Whop, not by us. Whop's terms and privacy policy apply to the payment itself, and your receipts come from Whop. Your card statement may show Whop's descriptor.
- Saved card and auto-reload. When you make your first wallet purchase, your card is saved so that later purchases and auto-reloads can be charged without you re-entering it. You authorize us, through Whop, to charge the saved card you have selected (or, if that fails, any other card on file) for each top-up you request and, if you turn on auto-reload, for the reload amount you set whenever your balance falls below the threshold you set. You can change the amount and threshold, turn auto-reload off, and add or remove cards on the wallet page, but you must keep at least one card on file while your account is open. You are responsible for keeping a valid card on file; a failed charge means no reload and, when your balance is below the price of a Call, no Calls.
- ALL WALLET PURCHASES ARE FINAL SALE. Money added to your wallet, whether by a top-up you requested or by an auto-reload you set up, is non-refundable, in whole or in part, for any reason, including an unused balance, Calls you did not like, a closed or terminated account, or the Service being discontinued. The only exceptions are the automatic Call credit in Section 8, any goodwill credit we choose to give under Section 8, and any refund the law requires.
- No transfer; no cash out. Wallet balances cannot be transferred to another account, exchanged for cash, or applied to anything other than Calls.
- Promotional and test credits. Credits we add to a wallet without payment (for example, test money for a pilot) are a free extra: no cash value, non-refundable, non-transferable, and subject to the conditions we attach. We may remove unused promotional credits at any time.
- Taxes. Prices do not include taxes. Any tax on your purchases is yours.
- Our records control. Our ledger (every deposit, charge, credit, and correction) and our phone system's Call records are the record of your account and are valid and binding evidence of charges and delivery in any dispute.
8. Call credits, disputes, and chargebacks
- Automatic credit. If our phone system's own record later shows that a charged Call did not qualify (for example, it marks the Call as not converted or not receivable), the Service credits the charged amount back to your wallet automatically, once, tied to that Call. This is the only automatic credit.
- Everything else is at our discretion. If you believe a Billable Call should not have been charged (for example, a dead line, a wrong transfer, or a consumer who was not the person dialed), tell us within 48 hours after the Call through the disposition prompt or at support@nodials.com, with the Call's time and what happened. We will look at the recording and our records and decide, in our sole discretion, whether to credit your wallet. A credit, when we give one, is a goodwill accommodation: it goes to your wallet (never cash), it never creates an obligation or a precedent, and it does not modify these Terms. Disputes raised after 48 hours, or about a Call you did not disposition, may be refused for that reason alone. The per-Call credit is the only remedy we offer for a Call you are unhappy with.
- Talk to us before your bank. If you think a wallet charge is wrong, contact us at support@nodials.com first and allow seven business days for investigation before initiating any chargeback or payment dispute. Initiating a chargeback without doing so is a material breach of these Terms. Use of the Service (going online, accepting Calls, logins, dispositions) is delivery of the Service. If a charge is reversed, we may remove the disputed amount (and any credits tied to it) from your wallet, which may leave it negative, and we may suspend your account until the balance is settled. Reversed amounts for Calls already delivered remain immediately due, you authorize us to re-charge them to any card on file, and you will reimburse chargeback fees and reasonable collection costs. We may close accounts that initiate improper chargebacks.
9. No results are promised
We do not promise and expressly disclaim any number of Calls, any Call quality, consumer intent, consumer honesty, contact rates, qualification rates, close rates, premiums, commissions, revenue, or income. Any numbers we publish (take rates, close rates, averages, ranges, or "typical" results) describe past activity on the Service, not a promise to you. Your results depend on your states, your skill, your availability, consumer behavior, carrier underwriting, and market conditions. Testimonials reflect individual experiences; your results may vary. Statements on our websites, emails, ads, and screens are descriptions, not promises, and are not part of this agreement. You confirm you are not relying on any statement that is not written in these Terms.
10. Your account; suspension and termination
- Your access. Keep your login credentials secret. You are responsible for everything done through your account. Tell us at once at support@nodials.com if you believe it has been compromised.
- Holds. We may put your account on hold (no Calls) at any time while we review licensing, conduct, a dispute, a chargeback, or a possible breach. On hold you keep access to your account and wallet page; you cannot go online.
- By you. You may stop using the Service at any time, and may ask us to close your account by emailing support@nodials.com from your account email. Your wallet balance is forfeited when your account closes (Section 7).
- By us, for cause. We may suspend or terminate your account immediately, without notice or liability, if we believe you broke these Terms, gave us false information (including about licensing), disputed a payment improperly, mistreated a consumer or our team, or created legal, carrier, call-center, or reputational risk for us. Your remaining wallet balance is forfeited.
- By us, for any other reason. We may terminate any account at any time for any reason or no reason. If we do this without cause, we will first give you 30 days' notice by email, and you may keep taking Calls on your remaining balance during that time, subject to these Terms. A balance not used by the end of the notice period is forfeited.
- Discontinuation. We may change, limit, or stop offering the Service, in whole or in part, at any time. If we stop offering it entirely, we will give you at least 30 days' notice by email and you may use your remaining balance during that time. A balance not used by the end of the notice period is forfeited. No refund is due.
- Survival. Sections 4, 5, 7 through 9, and 11 through 18 survive termination.
11. Ownership and confidentiality
Your business information and your notes are yours. Everything else about the Service is ours: the Service, its software, screens, flows, scripts, routing logic, pricing models, recordings, transcripts, Call records, dispositions and the data built from them, our call-center relationships, our consumer data, and our documentation and processes, all of which are our confidential and proprietary property. You may not copy, modify, recreate, reverse engineer, scrape, probe, overload, or disclose them, use the Service to build or help a competing service, or recruit our call centers or their personnel. On termination your access ends. If you give us feedback or ideas, we may use them freely without compensation or attribution.
Publicity and in-app display. We may reference your first name, your results, and messages you send us praising the Service in our marketing, and we may show your first name, last initial, and performance figures to other agents inside the Service (for example, on a leaderboard). Tell us in writing any time that you want out of marketing use and we will stop and remove what we reasonably can.
12. DISCLAIMER OF WARRANTIES
THE SERVICE, EVERY CALL, AND ALL CONSUMER INFORMATION ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS. TO THE MAXIMUM EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT ANY CONSUMER IS QUALIFIED, INTERESTED, INSURABLE, TRUTHFUL, OR THE PERSON OUR CALL CENTER DIALED; THAT ANY CONSUMER INFORMATION IS ACCURATE OR CURRENT; THAT ANY CONSUMER CONSENTED TO ANY CONTACT BY YOU AFTER THE CALL; THAT CALLS WILL ARRIVE IN ANY VOLUME, STATE, OR TIME; OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE RELY ON THIRD PARTIES (CALL CENTERS, DIALER AND CALL-ROUTING PROVIDERS, TELECOM CARRIERS, PAYMENT PROCESSORS, HOSTING, DATABASE, AND EMAIL PROVIDERS); WE ARE NOT RESPONSIBLE FOR THEIR OUTAGES, ERRORS, POLICY CHANGES, OR ACTS, AND MAKE NO WARRANTY FOR THEM.
13. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT THE LAW ALLOWS:
(a) SOLE REMEDY. IF A CALL WAS CHARGED IN ERROR OR THE SERVICE FAILS, YOUR SOLE AND EXCLUSIVE REMEDY IS A CREDIT TO YOUR WALLET OF THE AMOUNT CHARGED FOR THE AFFECTED CALL, AS SECTION 8 PROVIDES.
(b) NO LIABILITY FOR YOUR CALLS AND SALES. WE ARE NOT LIABLE FOR ANY CLAIM, DEMAND, LAWSUIT, ARBITRATION, INVESTIGATION, REGULATORY ACTION, FINE, PENALTY, JUDGMENT, SETTLEMENT, OR DEFENSE COST ARISING FROM ANY CONVERSATION YOU HAVE WITH A CONSUMER, ANY FOLLOW-UP CONTACT YOU MAKE, ANY POLICY YOU SELL OR FAIL TO SELL, OR ANY RECORDING MADE UNDER SECTION 4, EVEN IF THE CLAIM IS BASED ON OUR NEGLIGENCE.
(c) NO INDIRECT DAMAGES. WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, COMMISSIONS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
(d) CAP. OUR TOTAL LIABILITY FOR ALL CLAIMS OF ANY KIND ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, COMBINED, IS LIMITED TO THE LESSER OF (I) THE AMOUNT CHARGED TO YOUR WALLET FOR CALLS IN THE THIRTY (30) DAYS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (II) $1,000.
(e) These limits apply to every legal theory, including contract, warranty, negligence, strict liability, and statute. They are an agreed allocation of risk reflected in our prices; without them we would not offer the Service at these prices. They do not limit your payment obligations or your indemnity duties, and they do not apply where the law forbids them, including liability for our fraud or intentional misconduct.
(f) Entity only, no personal recourse. The Service is provided solely by Capital Commission Management, LLC. Any claim may be brought only against the company. No member, manager, owner, officer, employee, contractor, or agent of the company has any personal liability under these Terms or in connection with the Service, and you waive any claim against them individually.
14. You protect us (indemnification)
You will defend, indemnify, and hold harmless NoDials, its members, managers, owners, officers, employees, contractors, and agents, and our call centers and service providers, from and against all claims, demands, lawsuits, arbitrations, investigations, regulatory actions, fines, penalties, losses, judgments, settlements, and costs (including attorney fees and costs of defense) arising out of or relating to:
- anything you say or do on a Call, and any insurance quote, application, policy, replacement, or advice that follows from it;
- any follow-up call, text, email, or other contact you or anyone working with or for you makes to a consumer, including every TCPA, Telemarketing Sales Rule, do-not-call, recording-law, and state telemarketing claim;
- your licensing, appointments, and regulatory standing, and any statement you made to us about them;
- your use or disclosure of Consumer Information;
- your breach of these Terms or your violation of any law; or
- use of your account by anyone you let in.
This applies EVEN IF THE CLAIM ALLEGES THAT WE WERE NEGLIGENT. It does not apply to the extent a court or arbitrator finally decides the loss was caused by our gross negligence or intentional misconduct. We may choose our own counsel and control the defense of any matter, at your expense, and you will cooperate. You may not settle any matter that involves us without our written consent.
15. Disputes: individual arbitration, class and jury waiver
Before filing anything, both sides agree to try to work it out directly for 30 days after written notice (to us: support@nodials.com; to you: the email on your account). If that fails, any dispute arising out of or relating to these Terms or the Service will be resolved exclusively by final and binding individual arbitration under the American Arbitration Association's Commercial Arbitration Rules, in Hillsborough County, Florida (remote hearings allowed). YOU UNDERSTAND THAT WITHOUT THIS PROVISION YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.
BOTH SIDES WAIVE JURY TRIAL AND CLASS ACTIONS. Claims may be brought only in an individual capacity, never as a plaintiff or member of a class, collective, consolidated, or representative proceeding, and arbitrations may not be joined. Either side may instead use small-claims court for a qualifying individual claim, and either side may go to court solely for an injunction protecting intellectual property, confidential information, or system security.
- Who decides. The arbitrator decides all questions about whether a dispute must be arbitrated, including the scope, validity, and enforceability of this arbitration agreement, except that a court decides any question about the class, collective, or representative action waiver.
- Costs. If you show that arbitration fees would be so high compared with a court case that they would stop you from bringing your claim, we will pay the part of the filing and arbitrator fees that goes beyond what a court filing would cost you, unless the arbitrator finds your claim frivolous.
- Federal Arbitration Act. This arbitration agreement involves interstate commerce and is governed by the Federal Arbitration Act.
- One-year limit. To the extent the law allows, any claim must be brought within one (1) year after it arose, or it is permanently barred.
- Changes do not reach old disputes. A change to this Section 15 does not apply to a dispute that arose, or of which either side gave notice, before the change took effect.
- If the class waiver fails. If the class, collective, or representative action waiver is found unenforceable for any claim, that claim must be decided in court in Hillsborough County, Florida, and not in arbitration, and the rest of this Section 15 still applies to all other claims. If a dispute is otherwise found not subject to arbitration, it will be resolved exclusively in the state or federal courts in Hillsborough County, Florida, and both sides consent to their jurisdiction.
16. Governing law
Florida law governs these Terms, without regard to conflict-of-law rules.
17. Changes
We may change the Service, its features, market hours, the states we run Calls in, the billable window, and prices for future Calls at any time. We may change these Terms by posting a new version with a new effective date. For material changes we will also notify you by email or in the Service. A change applies from its effective date and only going forward: it does not reach a Call already charged or a dispute that arose before it. If you keep using the Service after a change takes effect, you accept it. If you do not accept it, stop using the Service and ask us to close your account.
18. Electronic agreement, notices, and general terms
- Electronic agreement. Creating an account, adding money, clicking pay, switching online, or using the Service counts as your signature. You agree to receive notices, records, and agreements electronically at the email on your account, and that electronic records satisfy any requirement for a writing or signature. We keep each version of these Terms and the date you accepted it.
- Entire agreement. These Terms, the Privacy Policy, and the disclosures shown to you in the Service are the entire agreement and replace prior discussions on the same subject. Nothing on our websites or in marketing changes them.
- Severability. If any part of these Terms is unenforceable, it will be limited to the minimum extent needed and the rest stays in effect.
- Assignment. You may not assign this agreement without our written consent. We may assign it at any time, including in a sale or reorganization.
- No waiver. Not enforcing a right is not a waiver of it.
- Force majeure. Neither side is liable for delays caused by events beyond reasonable control, except payment obligations.
- Third-party beneficiaries. Our call centers and service providers are intended third-party beneficiaries of Sections 12, 13, and 14 and may enforce them. No one else is.
